Agreement on not disclosure of the information, which is commercial secret

Company______________________________, on behalf of____________________________________,
acting on the basis of a Charter, further on called the “Company”, on one hand and _________________ _________________________, further on called the “Collaborator”, on the other hand have concluded the present agreement.

I. The subject matter of the agreement

The “Company ” provides the “Collaborator” with the job dealt with confidential information
and the “Collaborator” voluntarily agrees to fulfill the presented job during terms of the
Agreement on hiring (or within fixed term).

II. Rights and obligations of the parties

2.1 The “Company” obliges to:
- to acquaintance the “Collaborator”, after his signing relevant documents, with the List of confidential (or strictly confidential) information, which is commercial secret of the “Company” (further according to the text – the List) and with the Instruction on the work with confidential (or strictly confidential) information (further according to the text the Instruction);
- to inform the “Collaborator” in case there are any changes or/and additions in the List (Instruction);
- to provide the “Collaborator” with all the necessary conditions for work with confidential (strictly confidential) information: premises, computer, safe for keeping the documents and/or magnetic bearer;
- to provide personal security of the “Collaborator” both while working time and time off.

2.2. the “Company” has the right to:
- to transfer the “Collaborator” to the job not dealt with confidential (strictly confidential) information without changing his salary taking into account business expediency;
- to transfer the “Collaborators” to the job not dealt with confidential (strictly confidential) information with the corresponded position salary in case the “Collaborator” is not able to fulfill job dealt with confidential (strictly confidential) information (insufficient job skill, health condition);
- to test or/and check regularly (not rare than once per half a year) and in case of emergency situation – immediately the “Collaborator” on detector of lie. The list of emergency situations (terrorists acts towards managing staff and personnel, capture of the hostages and etc.; causing damages that lead to closing the whole direction of activity or threat the existing of the company) is attached to the present agreement and is its integral part;
- to institute administrative proceeding or criminal proceeding against the “Collaborator” according to the article 148-7 of the Criminal Codex of Ukraine (Disclosing of the commercial secret) in case the “Collaborator” disclose confidential (strictly confidential) information.

2.3 The “Collaborator” obliges to:
- to observe demands presented by the present agreement on disclosing confidential (strictly confidential) information in where he is provided with the access in accordance with the kind of job;
- to observe the demands of the Instruction on the work with confidential (strictly confidential) information and keeping relevant documents and/or magnetic bearers;
- to inform immediately the managing staff and security service of the company in case of an attempt to find out confidential information by outside persons or other employees of the company;
- not to disclose confidential (strictly confidential) information, which he was informed within his functional obligations during three years after dismissal.

2.4. The “Collaborator” has the right to:
- to demand transference to the position not dealt with confidential (strictly confidential) information in case the “Collaborator” is not able or doesn’t wish to execute the job dealt with confidential (strictly confidential) job;
- to refuse to execute work dealt with confidential (strictly confidential) information in case of break the Instruction or the List of the company or lack of relevant conditions for job;
- to institute criminal proceeding against the “Company” in case of introducing into the List by the “Company ” and acquainting the “Collaborator” with secret information that is State secret.

III. Responsibility of the sides

3.1 The “Company” bears the responsibility before the State for the share of the information that is the State secret and confidential (strictly confidential) information that is commercial secret of the company.
3.2 The “Collaborator” is responsible before the company for the strict observance of the List and Instruction demands and preservation of the confidentiality of the presented to him information.

IV. Terms and conditions of the agreement

4.1. The present agreement is concluded on the bases of mutual understanding of the sides.
4.2. The present agreement is concluded for the term of acting the hiring Agreement (or for the term of ...)
4.3. The present agreement comes into force right after its signing by the sides.

V. Final formulations

The present agreement is drawn up in two copies on Russian (English) language. The first copy is at the company and the second one at the “Collaborator” and have identical legal force.
The present agreement is concluded on “_____” ______________________200_______year in Kiev.
